1. Agreement to Terms

By accessing or using PreMiD ("Service"), operated by Recodive oHG ("we," "us," or "Company"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

PreMiD is a browser extension that displays your web browsing activity on your Discord profile.

3. Eligibility

You must be at least 16 years old to use this Service. By using PreMiD, you represent and warrant that you are at least 16 years of age and have the legal capacity to enter into these Terms.

4. Account Registration

4.1 Account Creation

To access certain features, you must create an account by providing:

Valid email address
Discord account connection
Accurate and complete information

4.2 Account Security

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of unauthorized access

5. Premium Subscription

5.1 Payment Processing

Payments are processed by Stripe
Payment is due at the beginning of each billing cycle
You authorize recurring charges based on your selected plan

5.2 Automatic Renewal

Subscriptions automatically renew unless cancelled
Renewal occurs at the end of the current billing period
You may cancel automatic renewal at any time

5.3 Cancellation

Cancel anytime through your account settings
Cancellation takes effect at the end of the current billing period
No refunds for partial billing periods

5.4 Price Changes

We reserve the right to modify subscription prices
Existing subscribers will receive 30 days advance notice before any price increase
Price changes will not affect your current billing period
If you do not explicitly agree to the new pricing, your subscription will end at the conclusion of your current billing period
You must actively consent to the new price to continue your subscription beyond the current period

7. User Conduct

You agree not to:

Violate any applicable laws or regulations
Infringe on intellectual property rights
Transmit malicious code or viruses
Attempt to gain unauthorized access to our systems
Reverse engineer or decompile the Service
Use the Service for commercial purposes without authorization
Harass, abuse, or harm other users
Misrepresent your identity or affiliation

8. Intellectual Property

8.1 Our Property

The Service, including all content, features, and functionality, is owned by Recodive oHG and protected by international copyright, trademark, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to:

Use the Service for personal, non-commercial purposes
Download and use the browser extension
Access Premium features with valid subscription

8.3 User Content

You retain ownership of content you create but grant us a worldwide, royalty-free license to use, display, and distribute it as part of the Service.

9. Privacy

Your use of the Service is subject to our Privacy Policy, available at Privacy Policy Link. By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Service Quality and Liability

10.1 Service Standards

We strive to provide PreMiD in accordance with current technical standards and the service description. The Service will conform to the features and functionality described in our documentation. We will maintain and update the Service to ensure it remains functional and secure.

10.2 Third-Party Dependencies

PreMiD relies on third-party services including Discord. We are not responsible for:

Changes to Discord's API or service availability
Third-party website compatibility issues
Content displayed through the Service that originates from third parties

10.3 Statutory Warranty Rights

Your statutory warranty rights under German and EU law remain unaffected. For digital services, we provide updates necessary to maintain conformity for the duration of your subscription.

11. Limitation of Liability

11.1 Exclusion of Damages

To the maximum extent permitted by law, Recodive oHG shall not be liable for:

Indirect, incidental, special, or consequential damages
Lost profits, data, or business opportunities
Service interruptions or data loss
Damages exceeding the amount paid for the Service in the last 12 months

11.2 Essential Rights

The following limitations cannot be excluded under German and EU law:

Liability for intent and gross negligence
Liability under product liability laws
Fraudulent concealment of defects
Any other mandatory statutory liability

Note: These are standard legal protections that cannot be waived under consumer protection laws.

12. Indemnification

You agree to indemnify and hold harmless Recodive oHG, its partners, officers, and employees from any claims, damages, or expenses arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights

13. Modifications

13.1 Terms Updates

We may make minor modifications to these Terms (including clarifications, or legal compliance updates) at any time. Changes will be communicated via:

Posting revised Terms on our website
Email notification to registered users
Internal product notification

Note: Minor changes become effective 30 days after notification.

13.2 Material Changes

For material changes that affect your rights or obligations (including price increases, or changes to core service terms), we will:

Post the revised Terms on our website
Notify registered users at least 30 days in advance via email
Notify internal via product

Important: Material changes do not affect your current subscription period. Your existing Terms remain in effect until the end of your current billing cycle. To renew your subscription after the current period ends, you must accept the updated Terms. If you do not accept the updated Terms, your subscription will expire at the end of the current billing period and will not be renewed.

13.3 Service Changes

At any time, we reserve the right to:

Modify or discontinue features
Introduce new features or services
Update technical requirements

14. Termination

14.1 By You

You may terminate your account at any time by:

Cancelling your subscription
Requesting account deletion
Ceasing use of the Service

14.2 By Us

We may terminate or suspend your account immediately for:

Violation of these Terms
Fraudulent or illegal activity
Non-payment of fees
Extended inactivity

14.3 Effect of Termination

Upon termination:

Your right to use the Service ceases immediately
We may delete your account data after 30 days
Provisions that should survive termination will remain in effect

15. Governing Law and Jurisdiction

15.1 Applicable Law

These Terms are governed by the laws of Germany, without regard to conflict of law principles.

15.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Berlin, Germany.

15.3 Consumer Rights

If you are a consumer residing in the EU, you enjoy additional protections under mandatory consumer protection laws.

16. General Provisions

16.1 Entire Agreement

These Terms constitute the entire agreement between you and Recodive oHG regarding the Service.

16.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

16.3 Waiver

Failure to enforce any right or provision does not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
