1. Agreement to Terms

By downloading or using Stoodle ("App"), made by Recodive oHG ("we," "us," or "Company"), you agree to these Terms of Use ("Terms"). If you disagree with any part of them, please don't use the App.

2. Apple's License Agreement

You get Stoodle through the Apple App Store, so Apple's Licensed Application End User License Agreement (the "Apple EULA") applies to your use of the App. These Terms add to the Apple EULA and don't replace it. If the two conflict, the Apple EULA wins for the matters it covers, and these Terms apply to everything else.

3. What Stoodle Is

Stoodle is an app for iPhone, Apple Watch and Mac that reminds you to switch between sitting and standing at your desk. It has no account, no ads and no analytics, and we don't run servers for it. How it handles your information is described in the Privacy Policy.

4. Stoodle Pro

Stoodle's core features are free. Stoodle Pro is an optional one-time in-app purchase that unlocks extra features, such as custom sit and stand times, multiple breaks, quiet meetings and Bluetooth desk control. It is not a subscription and doesn't renew.

Apple handles the purchase. The App Store processes the payment, and Apple is responsible for billing. We never receive or store your payment details.
Refunds and withdrawal. Requests for refunds, and any statutory right of withdrawal you may have as a consumer, are handled by Apple under its terms. You can request a refund at reportaproblem.apple.com. If something about Pro doesn't work as described, write to us at [email protected] and we'll help.
Family Sharing is off. Pro is tied to the Apple Account that bought it and isn't shared through Family Sharing.
Restoring. You can restore Pro on your other devices signed in to the same Apple Account with "Restore" in the App.
Price. The price shown in the App Store at the time of purchase applies. Prices can differ by country and may change, but a change never affects a purchase you already made.

5. Not Medical Advice

Stoodle reminds you to change your posture during the workday. It is not a medical device and doesn't give medical advice, diagnosis or treatment. Standing more is not a guarantee of any health benefit. If you have back, leg, circulation or any other health problem, or you are pregnant or unsure whether standing is right for you, consult a doctor or other qualified professional. Stop using the desk and the App's reminders if you feel pain or discomfort.

6. Bluetooth Desk Control (Stoodle Pro)

With Stoodle Pro, the App can connect to a Bluetooth-enabled height-adjustable desk and move it: while you hold a button in the App, or, if you switch these on, all the way to your sitting or standing height with one tap ("Move with one tap") or by itself after a ten-second countdown when it's time to switch and you're at the desk ("Move when it's time"). Both are off until you turn them on. A moving desk can injure people or pets or damage objects, so:

You are responsible for the desk's path. Before you move the desk, make sure nothing and no one (including children, pets, cables, chairs and equipment) is in the way, above it or under it, and keep watching it while it moves.
Stopping the desk. When you hold a button, the App stops sending movement commands as soon as you release it, close the App, or the connection ends. A one-tap or automatic move runs until the desk reaches its height, you press Stop or the desk's own buttons, or the desk's controller stops it. Only turn these on if you can watch the desk and reach Stop or the desk's buttons. We cannot guarantee how a third-party desk, controller or firmware reacts to those commands, including when it stops, whether its own safety features such as collision detection work, or whether it behaves the same after an update.
Compatibility is not a promise. Desk brands and controllers listed in the App or on our support page work as far as we have been able to test them. We aren't affiliated with desk makers and can't guarantee a particular desk or firmware will work now or in the future.
Don't leave children or pets unattended with the desk or the App.
You use desk control at your own risk, within the limits of Section 9.

7. Using the App

You agree not to reverse engineer, decompile or modify the App, except where the law allows it regardless of this agreement; not to misuse the App or its sharing links to harm others; and not to use the App in any way that breaks the law. The App and everything in it, including its name, artwork and the Stoo character, belong to Recodive oHG and are protected by copyright, trademark and other intellectual property laws. We give you a limited, non-exclusive, non-transferable licence to use the App as set out in the Apple EULA.

8. Your Data, iCloud and Links

Your data stays on your devices and in your own iCloud account. You are responsible for who you send a Stoodle sharing link to: anyone who has the link can open your shared day and, if you allow it, change it. You can end a link at any time in Stoodle's Settings.

9. Service Quality and Liability

9.1 Availability

We aim to keep Stoodle working and up to date for the iOS, watchOS and macOS versions it supports. The App depends on Apple's systems (such as iCloud, notifications, Bluetooth and the App Store) and on the settings you grant it, and we are not responsible for changes or outages at Apple or other providers beyond our reasonable control.

9.2 Statutory Warranty Rights

Your statutory warranty rights under German and EU law remain unaffected. Stoodle is otherwise provided "as is" and "as available", and we give no warranty that reminders will always arrive on time or that detection of your desk will always work.

9.3 Exclusion of Damages

To the maximum extent permitted by law, Recodive oHG shall not be liable for:

Indirect, incidental, special, or consequential damages.
Lost profits, data, or business opportunities.
Missed or late reminders, service interruptions or data loss.
Damages exceeding the amount paid by you for the App in the last 12 months.

9.4 Essential Rights

The following limitations cannot be excluded under German and EU law:

Liability for intent and gross negligence.
Liability for injury to life, body or health.
Liability under product liability laws.
Fraudulent concealment of defects.
Any other mandatory statutory liability.

Note: These are standard legal protections that cannot be waived under consumer protection laws.

10. Modifications

We may update these Terms, for example to reflect new features or legal requirements. We will post the revised Terms on this page and change the date above. Changes that affect your rights or obligations in a material way take effect at least 30 days after we post them, and you are welcome to stop using the App if you don't agree. Changes never affect what you already bought. We may also change or discontinue features of the App.

11. Termination

You can stop using Stoodle at any time by deleting the App. We may stop offering the App, or end your access to it, if you seriously violate these Terms. Provisions that should survive termination will remain in effect.

12. Governing Law and Jurisdiction

12.1 Applicable Law

These Terms are governed by the laws of Germany, without regard to conflict-of-law principles.

12.2 Jurisdiction

If you are a merchant, a legal entity under public law or have no general place of jurisdiction in Germany, the courts in Berlin, Germany, have exclusive jurisdiction for disputes arising from these Terms. If you are a consumer, the statutory rules on jurisdiction apply.

12.3 Consumer Rights

If you are a consumer, the choice of German law doesn't take away the protection of the mandatory consumer laws of the country where you live.

13. General Provisions

13.1 Entire Agreement

These Terms and the Apple EULA are the entire agreement between you and Recodive oHG regarding the App.

13.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

13.3 Waiver

Failure to enforce any right or provision does not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
